Seller Terms & Conditions.

Bòkatedral operates an online marketplace (a "venue") that lets independent sellers list and sell their own products to buyers. You (the "Seller") are an independent business. Nothing in this agreement makes you an employee, agent, partner, or joint venturer of Bòkatedral, and nothing makes Bòkatedral the seller, manufacturer, importer, distributor, or owner of your products. Each sale is a contract between you and the buyer; Bòkatedral is not a party to it.

You are solely responsible for the sourcing, quality, safety, authenticity, accuracy, labeling, packaging, handling, and legality of every product you list and sell. Bòkatedral does not manufacture, inspect, test, endorse, or guarantee your products and makes no representation or warranty about them. Your products are sold by you, on an "as-is" basis as between you and Bòkatedral, and the buyer's remedies for any defect, harm, or dissatisfaction are against you, the Seller.

You represent and warrant that each product and listing complies with all applicable laws and regulations, including:

• US import, consumer-safety, and labeling laws;
• FDA and other rules for food, beverages, cosmetics, and supplements — including ingredient, allergen, and expiration disclosure;
• all intellectual-property and trademark laws.

You will not list counterfeit, stolen, recalled, hazardous, or prohibited items, and if you sell branded goods you must have the lawful right to do so.

To the maximum extent permitted by law, Bòkatedral is not responsible or liable for any claim, loss, injury, illness, death, property damage, or other damages arising out of or relating to your products, your listings, your fulfillment, or your conduct — including product defects, contamination, mislabeling, allergic reactions, counterfeit or infringing goods, late or failed delivery, or inaccurate descriptions. You acknowledge that Bòkatedral is a technology venue only and does not assume any product-liability, manufacturer, or seller obligations.

You will defend, indemnify, and hold harmless Bòkatedral and its owners, officers, employees, and affiliates from and against any and all claims, demands, disputes, chargebacks, damages, losses, fines, penalties, liabilities, and costs (including reasonable attorneys' fees) arising out of or related to:

• (a) your products, listings, or fulfillment;
• (b) your breach of this agreement or of any law;
• (c) your infringement of any third-party right; or
• (d) any injury or damage caused by your products.

This obligation survives termination.

Your listings must be truthful and complete — real photos, correct size, weight and quantity, honest condition, accurate pricing and stock, and clear ingredients or materials where relevant. You grant Bòkatedral a non-exclusive, royalty-free license to host, display, resize, and use your listing content and images to operate, market, and promote the marketplace. You represent that you own or have the rights to all content you upload.

Every product and change you submit is subject to Bòkatedral's review and approval before it goes live, at Bòkatedral's sole discretion. Bòkatedral may approve, edit, restrict, decline, pause, or remove any listing or seller account at any time — including for quality, accuracy, compliance, legal or regulatory risk, or harm to customer trust — with or without notice.

Bòkatedral charges a commission on each sale (a percentage disclosed to you), and may apply payment-processing adjustments and optional service fees for premium placement or campaigns. Payouts are made on a scheduled cycle after the applicable order-confirmation and delivery windows, subject to the platform's payout workflow and risk controls. Bòkatedral may withhold, delay, or reverse payouts, and offset amounts you owe, in cases of suspected fraud, excessive disputes, chargebacks, refunds, or policy violations.

Unless Bòkatedral arranges a managed option, you are responsible for packaging, shipping within your stated handling time, providing valid tracking when available, and responding to customers within a reasonable time (recommended: 24 hours on business days). You will honor the marketplace return, refund, and dispute policies and cooperate in good faith, promptly correcting your own errors (wrong, defective, or missing items) and providing evidence (photos, tracking, invoices, communications) when requested.

Bòkatedral monitors seller performance — cancellation rate, on-time shipping, complaints and disputes, listing accuracy and compliance, and responsiveness. Consistently poor performance may result in a warning, temporary listing restrictions, paused selling privileges, or removal from the platform.

Either party may end this relationship at any time. Bòkatedral may suspend or terminate your seller access immediately for any breach of this agreement, any legal or safety risk, or any conduct that harms buyers or the marketplace. On termination, your right to list ends, but open orders must still be fulfilled and Sections 4, 5, and 12 survive.

The marketplace is provided "as is" and "as available," without warranties of any kind. To the maximum extent permitted by law, Bòkatedral will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue; and Bòkatedral's total aggregate liability to you for any claim relating to the marketplace will not exceed the total commissions Bòkatedral earned on your sales in the three (3) months before the claim.

This agreement is governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules, and you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

By checking the acceptance box in the seller application (or by listing products on Bòkatedral), you confirm that you have read, understood, and agree to be bound by this agreement and by the Bòkatedral Seller Guide.
